These Terms of Use ("Terms") govern your access to and use of the online client portal (the "Portal") made available by [Eastbrook Construction & Consulting, LLC] ("Eastbrook," "we," "us"), Florida Certified General Contractor license [CGC1530848]. By accessing the Portal, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Portal.
The Portal is provided to Eastbrook's clients and their authorized representatives (for example, HOA board members, property managers, and designated contacts) and to Eastbrook staff. You must be at least 18; no one under 18 may access or use the Portal. You must be authorized to act for the client organization, and you are responsible for activity under your account.
The Portal may include project updates, schedules and phases, messages, documents, photos, site-camera images and video, file and RFP exchange, and related project information. Features may change, be added, or be removed at any time.
You may upload files, RFPs, messages, and other materials ("Client Content"). You represent that you have the right to upload it and that it does not infringe any third party's rights or violate law. You grant Eastbrook a license to use Client Content as needed to provide the Portal and perform the project. Do not upload anything unlawful, malicious, or that you are not authorized to share.
Eastbrook may operate cameras on active jobsites. Images and short video clips captured by these cameras may be made available to you through the Portal. You acknowledge and agree that:
You agree not to: (a) access data that is not yours; (b) probe, scan, or test the security of the Portal; (c) interfere with or disrupt the Portal; (d) upload malware; (e) scrape or harvest data; or (f) use the Portal to violate any law. We may suspend access for any violation.
Information in the Portal is provided for convenience and project communication. The terms of your project are governed by your signed construction contract with Eastbrook. If anything in the Portal conflicts with that contract, the contract controls. Estimates, schedules, and progress shown in the Portal are informational and subject to change.
The Portal, its design, and Eastbrook's materials are owned by Eastbrook or its licensors and are protected by law. You receive a limited, revocable, non-transferable right to use the Portal for your project. Client Content remains yours.
The Portal relies on third-party providers (for example, hosting, database, authentication, email, and camera-data services). Your use may also be subject to those providers' terms. We are not responsible for third-party services.
THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Portal will be uninterrupted, secure, or error-free. [Counsel to confirm scope.]
TO THE FULLEST EXTENT PERMITTED BY LAW, EASTBROOK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR PROFITS, ARISING FROM YOUR USE OF THE PORTAL. [Liability cap to be set by counsel.] Nothing here limits liability that cannot be limited under law.
You agree to indemnify and hold Eastbrook harmless from claims arising out of your Client Content, your use of the Portal, or your violation of these Terms, to the extent permitted by law.
We may suspend or end your access at any time, including when your project concludes or for violation of these Terms. Sections that by their nature should survive (e.g., disclaimers, limitations, indemnity) survive termination.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Venue for any dispute lies in [County] County, Florida. [Counsel to confirm dispute-resolution / arbitration approach.]
We may update these Terms. When we do, we will update the version and effective date and may ask you to re-accept. Continued use after an update means you accept the revised Terms.
